Terms of Service

These Terms of Service ("Terms") govern your access to and use of the MonoDispatch dispatch automation platform (the "Service") operated by MonoDispatch ("MonoDispatch," "we," "us," or "our"). By creating an account, signing in, or otherwise using the Service, you agree to be bound by these Terms and our Privacy Policy. If you are agreeing on behalf of a company or organization, you represent that you have authority to bind that entity.
1. Eligibility and accounts
You must be at least 18 years old and able to form a binding contract. You are responsible for keeping your credentials secure and for all activity under your account. Notify us at security@monodispatch.com within 24 hours of any suspected unauthorized access. Accounts are personal to one individual and may not be shared.
2. The Service
MonoDispatch provides software tools to coordinate sprinter van and cargo van dispatch operations, including a load board, driver matching, offer management, fleet tracking, document storage, and communications. We may add, modify, or remove features over time. The Service is provided to you on an ongoing basis subject to these Terms.
3. Acceptable use
You agree not to:
- Use the Service for any unlawful purpose or in violation of applicable transportation, labor, or data-protection laws.
- Reverse-engineer, scrape, decompile, or attempt to extract the source code of the Service except as expressly permitted.
- Disrupt, overload, or attempt to gain unauthorized access to the Service, its networks, or other users' data.
- Use the Service to transmit malware, harassing content, or content that infringes third-party rights.
- Misrepresent your identity, role, or affiliation, or share access credentials with unauthorized parties.
- Resell or sublicense access to the Service without our prior written consent.
4. Your content and data
You retain all rights to the data you submit, upload, or generate through the Service ("Customer Data"). You grant MonoDispatch a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Customer Data solely as needed to provide and improve the Service. You are responsible for ensuring you have the right to share Customer Data with us, including any data about employees, drivers, brokers, or shippers.
We may use aggregated and de-identified data derived from Customer Data for analytics, benchmarking, and product improvement, in a form that cannot reasonably be used to identify you or any individual.
Multi-company workspaces.Each dispatch company on MonoDispatch has its own isolated workspace. Customer Data you create as a dispatcher (loads, offers, brokers, shippers, internal notes) is shared with your company's other dispatchers and admins, and is not visible to dispatchers from other companies on the platform. Drivers are part of a shared driver pool that all dispatch companies on MonoDispatch can offer loads to. When a driver receives an offer, the offering company's name is shown on the offer, and accepting an offer authorizes that specific dispatch company to share assignment details (pickup, delivery, rate, location updates while on the load) with you for the duration of that load.
5. Email parsing and AI features
The Service uses large-language-model providers to parse rate confirmations, broker emails, and other free-form documents. Output may contain errors, omissions, or inaccuracies. You are solely responsible for reviewing, correcting, and approving any parsed data before acting on it. MonoDispatch makes no representation that parsed output is accurate, complete, or fit for any particular purpose.
6. Driver location and check calls
If you operate as a driver, you authorize the Service to record your device's GPS location while a load is assigned to you, and to share that location with your dispatcher and authorized administrators. You can revoke location permission at any time via your operating system, but doing so may impair core dispatch features.
7. Fees
The Service may be offered free of charge during early access. We will provide at least 30 days' notice before introducing fees. If you sign up for a paid plan, the applicable fees, billing frequency, and cancellation terms will be presented at checkout and incorporated into these Terms.
8. Suspension and termination
We may suspend or terminate your access if you breach these Terms, if your account becomes a security or compliance risk, or if required by law. You may terminate at any time by emailing support@monodispatch.com and ceasing use. On termination, you may export your Customer Data within 30 days, after which it may be deleted in accordance with our retention schedule.
9. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. MonoDispatch does not act as a freight broker, motor carrier, or party to any shipping contract, and is not responsible for any operational or commercial decisions made by you, drivers, brokers, shippers, or any third party. Routing, matching, and rate suggestions are informational; you are responsible for all final decisions.
10. Limitation of liability
To the maximum extent permitted by law, MonoDispatch and its affiliates, officers, employees, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or cost of substitute services, arising out of or related to the Service, even if advised of the possibility of such damages. Our total aggregate liability for any claim arising out of or relating to these Terms will not exceed the greater of (a) the total fees you paid us in the 12 months preceding the event giving rise to the claim, or (b) one hundred US dollars (USD 100).
11. Indemnification
You will defend, indemnify, and hold MonoDispatch harmless from any claim, loss, or expense (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your Customer Data, (c) your violation of these Terms, or (d) your violation of applicable law or third-party rights.
12. Intellectual property
The Service, including all software, designs, text, graphics, and trademarks, is owned by MonoDispatch and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws principles. Any dispute that cannot be resolved informally will be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association, in English, seated in Wilmington, Delaware. Either party may seek injunctive relief in court for intellectual-property or confidentiality matters.
14. Changes
We may modify these Terms from time to time. Material changes will be announced via email or in-product banner at least 14 days before taking effect. Continued use of the Service after the effective date constitutes acceptance of the modified Terms.
15. Miscellaneous
These Terms, together with the Privacy Policy and any order forms, are the entire agreement between you and MonoDispatch regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
